1. Agreement to Terms

PBNify is operated by Paintable Pictures LLC, a limited liability company organized under the laws of the State of Ohio, located at 1747 Olentangy River Rd #1453, Columbus, OH 43212, United States. By accessing or using PBNify ("we," "us," or "our") at pbnify.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

PBNify provides custom paint by numbers design generation services. You can upload photos to create personalized paint by numbers templates, available as free digital downloads or as physical kits shipped to you.

3. User Content

When you upload images or other content to our service, you represent and warrant that:

You own or control all rights necessary to submit the content and authorize us to use it to provide the service
The content, and our use of it to provide the service, will not infringe, misappropriate, or otherwise violate any copyright, trademark, trade dress, right of publicity, right of privacy, or other third-party right
The content does not violate any law and does not contain fraudulent, defamatory, harassing, hateful, exploitative, obscene, or otherwise objectionable material
The content does not depict or exploit a minor, or any person who could reasonably appear to be a minor, in a sexualized or otherwise inappropriate manner

Submission of content, generation of a preview, receipt of payment, or transmission of an order confirmation does not constitute our acceptance of any upload or order, and does not guarantee processing or fulfillment. We may, in our sole discretion, review, refuse, suspend, cancel, or decline to fulfill any upload, design, account, or order if we believe it may create legal, regulatory, reputational, operational, safety, or business risk, including where we suspect infringement or other misuse of third-party rights, or content that we consider unlawful, explicit, exploitative, offensive, or otherwise inappropriate or inconsistent with our standards.

You agree to indemnify and hold harmless Paintable Pictures LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your uploaded content, your use of the service, or your violation of these Terms.

4. Orders and Payment

Physical kit orders are processed upon payment. Prices are in US dollars and include applicable taxes calculated at checkout. We reserve the right to modify prices at any time, but changes will not affect orders already placed.

If we decline or cancel an order before shipment or delivery because we decide not to process or fulfill the requested content, we will issue a full refund for the unfulfilled item(s) to the original payment method.

Free digital downloads are provided as-is for personal use only.

5. Wholesale Orders

These wholesale terms apply to orders marked as wholesale or bulk custom kits. They supplement the rest of these Terms. If there is a conflict between this section and another part of these Terms, this section controls only for the applicable wholesale order.

By placing a wholesale order, you represent and warrant that you own the uploaded image or have all rights, licenses, permissions, and releases needed to use it commercially, to authorize us to make custom paint-by-number kits from it, and to resell or distribute those physical kits. This includes any rights related to copyrights, trademarks, trade dress, publicity, privacy, artwork, products, people, places, or brands shown in the image.

You grant Paintable Pictures LLC a non-exclusive, worldwide, royalty-free license to host, process, edit, reproduce, print, package, sell, ship, and otherwise use your uploaded image and the resulting paint-by-number design as needed to produce, fulfill, support, document, replace, or reprint your wholesale order. You retain ownership of your original image, and this license does not give us ownership of it.

Wholesale buyers may resell or distribute the physical kits purchased in a completed wholesale order. Unless we agree otherwise in writing, you may not resell, publish, redistribute, sublicense, or separately exploit generated digital files, downloadable templates, previews, line art, numbered guides, paint palettes, or other non-physical outputs from the service, except as embodied in the physical kits you purchased.

Wholesale orders are not exclusive. We do not grant you territory, channel, marketplace, brand, or product exclusivity unless agreed in a separate written agreement. You may not represent that PBNify or Paintable Pictures LLC sponsors, endorses, or partners with your resale business unless we have agreed to that in writing.

PBNify does not set a manufacturer's suggested retail price, minimum advertised price, resale price, required margin, or pricing policy for wholesale kits. You are solely responsible for determining the prices, discounts, promotions, and terms you offer to your own customers. PBNify is not a party to your resale transactions and is not responsible for your pricing, advertising, marketplace listings, taxes, customer promises, or compliance obligations.

We may review, reject, suspend, cancel, limit, or decline wholesale orders if we believe an image, design, quantity, destination, resale use, or account may create legal, regulatory, operational, inventory, reputational, safety, or business risk. If we cancel an unfulfilled wholesale order after payment, we will refund the unfulfilled portion to the original payment method.

Wholesale production and shipping dates are estimates, not guarantees. Unless otherwise agreed in writing, wholesale orders are subject to our published shipping and returns policies. You are responsible for your own resale listings, customer promises, taxes, marketplace obligations, labeling claims, and compliance with laws that apply to your sale or distribution of the kits.

You agree to indemnify and hold harmless Paintable Pictures LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your wholesale image rights, resale or distribution of kits, product listings, marketplace activity, customer claims, violation of these Terms, or violation of applicable law.

6. Shipping

We currently ship to addresses within the United States only. Shipping times are estimates and not guaranteed. We are not responsible for delays caused by carriers or customs.

7. Acceptable Use

You agree not to:

Use automated tools, bots, scrapers, or other means to access the service or extract data without our prior written consent
Resell, redistribute, or sublicense any outputs generated by the service, except for reselling physical wholesale kits you purchased under the Wholesale Orders section
Upload content that contains malware, viruses, or other harmful code
Upload content or place orders that infringe or appear likely to infringe third-party rights, or that may expose us or our service providers to legal, regulatory, reputational, or operational risk
Attempt to interfere with, compromise, or disrupt the service or its underlying infrastructure
Use the service in any manner that violates applicable law or regulation

We reserve the right to suspend or terminate access for violations of this section without prior notice.

8. Intellectual Property

The PBNify service, including our processing algorithms, website design, and branding, is owned by us and protected by intellectual property laws. You retain ownership of your original uploaded images.

Except for physical wholesale kits purchased under the Wholesale Orders section, products you purchase or download are licensed for personal use only.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

To the maximum extent permitted by law, Paintable Pictures LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability for any claim shall not exceed the amount you paid for the specific product or service giving rise to the claim.

11. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

Before initiating any formal legal proceedings, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any dispute within 30 days.

If informal resolution is unsuccessful, any legal action or proceeding shall be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction of such courts.

12. General Provisions

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, or supplier failures.
Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Paintable Pictures LLC regarding the service.
Age Requirement: You must be at least 13 years of age to use this service. By using PBNify, you represent that you meet this age requirement.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13. Changes to Terms

We may update these terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of our services more than 30 days after such changes constitutes acceptance of the modified terms.

14. Copyright Infringement (DMCA)

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (17 U.S.C. § 512), we will respond to valid notices of copyright infringement and take appropriate action.

If you believe that content on our service infringes your copyright, you may submit a DMCA takedown notice to our designated agent. Your notice must include the following elements as required by 17 U.S.C. § 512(c)(3):

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
Identification of the copyrighted work claimed to have been infringed (or a representative list if multiple works are involved)
Identification of the material that is claimed to be infringing, with enough information for us to locate it on our service
Your contact information, including name, address, telephone number, and email address
A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf

If you believe your content was removed by mistake, you may submit a counter-notification to our designated agent including: your signature, identification of the removed material, a statement under penalty of perjury that the removal was in error, and your consent to jurisdiction of the federal court in Franklin County, Ohio.

We will terminate access for users determined to be repeat infringers in appropriate circumstances.
